Mutual Non-Disclosure Agreement
Agreement entered into on between and (the "Parties").
1. Purpose: The Parties wish to explore a potential business relationship and may disclose proprietary information for evaluation purposes.
2. Confidential Information: Includes all non-public information, whether written or oral, disclosed by one Party to the other, including business plans, technical data, and intellectual property.
3. Obligations: The Recipient shall maintain information in strict confidence and shall not disclose it to third parties without prior written consent. The Recipient shall use the information solely for the Purpose stated above.
4. Exclusions: This Agreement does not apply to information that is already public, independently developed, or received from a third party without breach of any obligation.
5. Term: This Agreement remains in effect for two (2) years from the Effective Date.
6. No Grant: No license or rights under any patent, copyright, or trade secret are granted by this Agreement.
7. Governing Law: This Agreement is governed by the laws of the jurisdiction of the disclosing party.
